Referral Program Terms
Terms and Conditions: |

|
| 1. |
The Go Figure Referral Program includes of either a discount off of your iGo Figure monthly license fee
(Monthly License Fee Discount) or a one time payment of $150 (Referral Cash) for each referred customer who becomes
a paying iGo Figure software customer. The Go Figure Referral Program applies only to non-Curves businesses referred
to Go Figure on or before November 30, 2007 and who sign up for and pay the then-posted prices for the iGo Figure Software by December 31, 2007. Customers referred after November 30, 2007 or who do not sign up and pay by December 31, 2007 will not qualify you for the Go Figure Referral Program. |

| 2. |
Monthly License Fee Discount: To qualify for the Monthly License Fee Discount, the following conditions apply: |

| a. |
You must be a current iGo Figure Software Customer in good standing; |
| b. |
You must refer a non-Curves customer to Go Figure by completing the online referral form or fax form for each referred customer before November 30, 2007 (Curves or any other franchise that currently endorses
Go Figure is excluded). No other referral submission method is accepted; |
| c. |
The Monthly License Fee Discount will be applied to your monthly license fee paid to Go Figure sixty days after the referred customer pays the then-existing iGo Figure sign up fee and associated monthly fees. Thereafter, you will continue to receive the monthly license fee discount so long as the referred customer remains a Go Figure customer in good standing (i.e., continues to pay their monthly license fee). If the qualifying referred customer cancels, your monthly license fee will revert back to the then-existing published monthly rate effective the date of the referred customer’s cancelation. |
| d. |
You are entitled to only one monthly discount regardless of how many customers you refer or how many clubs you own. If you own more than one club, refer more than one customer, and select the monthly discount, you will receive the Monthly License Fee Discount for only one club if one or more of the referrals becomes an iGo Figure Software customer; for all other qualifying referrals that become iGo Figure Software customer, you will receive the one time Referral Cash payment subject to the terms below once the customer becomes a paying iGo Figure Software Customer. |

The monthly License Fee Discount is non-transferrable. |

| 3. |
Referral Cash: To qualify for the Referral Cash Payment, the following conditions apply: |

| a. |
Any person may submit a referral for Referral Cash, including club employees, managers, friends or anyone else who wants to promote the iGo Figure Software. The following people are excluded from participation: Go Figure employees, family members of Go Figure employees, and employees of affiliates of Go Figure, Inc., its subsidiaries, or any Go Figure iGoConnect partners. |
| b. |
You must refer a non-Curves customer to Go Figure by completing the online referral form or fax form for each referred customer before November 30, 2007 (Curves and any other franchise that currently endorses Go Figure do not qualify for a referral fee). No other referral submission method is accepted; |
| c. |
The Referral Cash payment will be paid to you sixty days after the referred customer pays the then-existing iGo Figure sign up fee and associated monthly fees. |
| d. |
Refer as many customers as you like, subject to rule #8 below |

| 4. |
If a referral is submitted by more than one person, then the Referral Fee (Discount or Cash) will go to the person who referred the customer first based on the timestamp of the online referral system. Go Figure’s decision as to who referred a referral first is final and binding. |

| 5. |
You agree and cornet that the laws of the State of Texas apply to the Go Figure Referral Program, and jurisdiction for any disputes related to this program shall be in the appropriate court of law for Fort Bend County, Texas. You agree that all warranties and representations regarding the Go Figure Program are contained in these Terms and Conditions, and you are not relying on any other representations by Go Figure or its staff or representatives. |

These rules are subject to change without notice. For the current rules, visit |

| 7. |
By submitting a referral, you also acknowledge that you have read these terms and conditions and agree to be bound
by them. |

| 8. |
Go Figure reserves the right to terminate this program without notice. Go Figure, at its sole discretion, reserves the right exclude anyone from the Go Figure Program for no reason or any reason, including anyone who violates these rules, violates the iGo Figure end user license agreement, hacks or otherwise illegally alters the iGo Figure online referral sign up form or iGo Figure software, or abuses this Program. |

| 9. |
A qualifying referral, is a customer referred by you before November 30, 2007 and who becomes a paying iGo Figure customer at Go Figure’s then-published standard rates before December 31, 2007. |
